Direct-Hire Placement Services Agreement Version 2026-10

This agreement is between SCG Healthcare Staffing Solutions ("SCG") and the organization named in the signed job order ("Client"). It applies to that job order and to any later job order Client submits to SCG.

1Services

SCG sources, screens and presents candidates for the roles described in Client's job orders. Client interviews candidates, makes offers and hires selected candidates directly as its own W-2 employees. Background checks, drug and alcohol testing and all employment decisions remain with Client.

2Placement fee

For each candidate introduced by SCG whom Client hires, Client pays a one-time placement fee equal to the candidate's first-year base salary multiplied by the rate for the urgency tier selected in the job order:

Standard22%
Priority24%
Urgent26%

There are no upfront fees, retainers or hourly charges. No fee is owed unless Client hires a candidate introduced by SCG.

For hourly roles, first-year base salary means the hourly rate multiplied by the scheduled weekly hours, multiplied by 52.

Promotion: For BCBA and RN / LPN roles in job orders signed on or before December 31, 2026, the placement fee is 16% of the candidate's first-year base salary, regardless of the urgency tier selected.

3Invoicing and payment

SCG invoices the placement fee on the hired candidate's start date. Payment is due within 14 days of the invoice. Late payments accrue interest of 1.5% per month.

4SCG Success Bonus

For select roles, SCG pays the placed employee a one-time bonus of 2% of their base salary after their first 90 days, funded entirely by SCG at no cost to Client. The bonus is paid once Client confirms the employee is still employed, in good standing and meeting performance and attendance expectations.

590-day guarantee

If a placed candidate resigns, or is let go for performance or conduct, within 90 days of their start date, SCG will find a replacement at no additional cost. If SCG cannot present a replacement within 60 days, Client may choose a partial refund instead: 50% of the fee if the candidate left within 30 days, or 25% if they left between 30 and 90 days.

The guarantee does not cover layoffs, clinic or site closures, eliminated positions, changes to the role's pay, schedule or location, or performance concerns not shared with SCG before termination.

6Candidate ownership

  1. SCG submits each candidate to Client in writing, with the candidate's consent, before scheduling any interview. Client has 2 business days to flag a duplicate, with the date of Client's last contact.
  2. If Client interviewed or actively engaged the candidate in the previous 6 months, the candidate is Client's and no fee applies.
  3. If the candidate did not move forward with Client (not selected, declined or withdrew) more than 6 months ago, then comes through SCG and is hired, SCG receives credit and the fee applies.
  4. Submissions not flagged within 2 business days are SCG's for 12 months, for any role. Same-day contact goes to the earlier timestamp.

7Non-circumvention

Candidates introduced by SCG may not be hired outside this agreement for 12 months from their introduction.

8Confidentiality

Each party keeps the other's personnel data, compensation information, business strategy and recruitment methods confidential.

9Indemnification and liability

Each party is responsible for losses caused by its own negligence, misconduct or breach of this agreement. SCG is not liable for clinical outcomes or care decisions.

10Governing law and disputes

This agreement is governed by the laws of the state where the placed candidate works. The parties will first try to resolve any dispute informally, then through mediation at a mutually agreed location, and then through litigation if needed.

11Term and termination

This agreement takes effect when Client signs a job order. Either party may end it with 30 days' written notice. Fees for placements already made remain due.

12Electronic signature

Client agrees that typing the signer's full name and checking the agreement box on SCG's job order form is Client's electronic signature and has the same effect as a handwritten signature. The person signing confirms they are authorized to sign on Client's behalf.
